These Terms & Conditions govern your access to and use of the Spice Without Borders ecosystem, including its websites, digital platforms, programs, academies, accelerators, events, initiatives, products, services, communities, publications, certifications, awards, and future offerings operated by or on behalf of Spice Without Borders.

Guided by our mission to discover, develop, and connect changemakers through learning, innovation, mentorship, and community action , we provide learning experiences, leadership development, innovation programs, mentoring, collaborative platforms, and opportunities that enable individuals and organizations to transform purpose into measurable impact.

These Terms & Conditions apply across the entire Spice Without Borders ecosystem, including but not limited to:

Where additional program-specific terms exist, those terms apply alongside these Terms & Conditions. In the event of inconsistency, the program-specific terms shall prevail only to the extent of that inconsistency.

03 — Eligibility

Eligibility

Eligibility requirements vary depending on the program, initiative, event, or service.

Unless otherwise stated, applicants and participants must:

  • Meet the published eligibility requirements for the relevant program.
  • Submit complete and accurate applications.
  • Provide truthful information and supporting documentation where requested.
  • Agree to comply with these Terms & Conditions, the Code of Conduct, and all applicable program policies.
  • Respect all applicable laws and regulations.

Certain programs may have additional eligibility criteria relating to age, location, language, experience, organizational affiliation, or professional background.

Spice Without Borders reserves the right to verify information submitted by applicants and may request additional documentation where necessary.

Providing false, misleading, or fraudulent information may result in rejection of an application, withdrawal of an offer, suspension, termination of participation, or withdrawal of certification or recognition.

04 — Applications and Admissions

Applications and Admissions

Applications to Spice Without Borders programs are competitive and subject to published eligibility and selection criteria.

Submitting an application does not guarantee admission, funding, scholarship support, certification, recognition, partnership, or participation.

Applications are assessed holistically, taking into consideration factors such as:

  • Purpose and motivation.
  • Leadership potential.
  • Commitment to community.
  • Creativity and innovation.
  • Collaboration.
  • Initiative.
  • Integrity.
  • Demonstrated or potential social impact.
  • Alignment with the mission and values of Spice Without Borders.

Academic qualifications may be considered where relevant but are not the sole basis for selection.

Admission decisions are made fairly and independently by Spice Without Borders or authorized selection panels. All decisions are final.

Spice Without Borders reserves the right to:

  • Decline any application.
  • Request additional information.
  • Conduct interviews.
  • Verify references.
  • Modify admission timelines.
  • Cancel or postpone programs where necessary.
05 — Participation

Participation

Participants are expected to contribute positively to every learning experience and community engagement opportunity.

Participation includes attending scheduled activities, engaging respectfully with facilitators and peers, completing agreed assignments, and contributing to collaborative learning.

Participants are expected to:

  • Attend scheduled sessions whenever reasonably possible.
  • Prepare for learning activities.
  • Participate actively and respectfully.
  • Complete required assignments and projects.
  • Meet agreed deadlines.
  • Communicate promptly if unable to attend scheduled activities.
  • Respect facilitators, mentors, volunteers, staff, partners, and fellow participants.
  • Use program resources responsibly.

Participants are responsible for their own decisions, actions, and implementation of projects developed during participation.

Repeated non-participation, disruptive behavior, or failure to meet program expectations may result in warnings, probation, suspension, removal from activities, or termination of participation.

06 — Code of Conduct

Code of Conduct

Spice Without Borders is committed to creating a safe, respectful, inclusive, and collaborative environment where every individual is treated with dignity.

Everyone participating in the ecosystem is expected to uphold the values of integrity, professionalism, inclusion, respect, accountability, collaboration, and responsible leadership.

Participants, mentors, volunteers, facilitators, partners, staff, and community members must:

  • Treat every individual with dignity and respect.
  • Value diversity of cultures, identities, beliefs, experiences, and perspectives.
  • Foster an inclusive and welcoming environment.
  • Communicate respectfully both online and offline.
  • Respect confidentiality where appropriate.
  • Use inclusive language.
  • Demonstrate honesty and integrity.
  • Act responsibly in representing Spice Without Borders.

The following behaviors are strictly prohibited:

  • Harassment.
  • Bullying.
  • Discrimination.
  • Hate speech.
  • Intimidation.
  • Violence or threats of violence.
  • Sexual harassment.
  • Fraud.
  • Academic misconduct.
  • Deliberate misinformation.
  • Misuse of organizational resources.
  • Unlawful behavior.
  • Any conduct that brings Spice Without Borders into disrepute.

Spice Without Borders reserves the right to investigate complaints and take appropriate action, including warnings, suspension, removal from programs, withdrawal of certifications, or permanent exclusion from the ecosystem.

07 — Learning, Mentorship and Certification

Learning, Mentorship and Certification

Learning within Spice Without Borders is grounded in experiential practice, collaboration, innovation, and community action.

Through initiatives such as Spicedemy, participants are encouraged to discover purpose, develop competencies, accelerate ideas, connect with others, and create measurable impact using the Purpose to Impact methodology and the SPICE Framework.

Participants are expected to engage actively in learning by:

  • Attending learning sessions.
  • Completing practical assignments.
  • Participating in mentoring and coaching.
  • Collaborating with peers.
  • Applying learning through real-world projects.
  • Reflecting on experiences.
  • Demonstrating continuous improvement.

Mentoring relationships are founded on mutual respect, professionalism, trust, confidentiality, and ethical conduct.

Mentors provide guidance, encouragement, knowledge, and professional insight but do not guarantee employment, funding, investment, business success, or project outcomes.

Certification is competency-based and recognizes demonstrated learning, participation, leadership, and practical application rather than attendance alone.

The official Spicedemy Certification Framework currently includes:

  • Certified Changemaker – Foundation Level
  • Certified Changemaker Practitioner – Intermediate Level
  • Certified Changemaker Leader – Advanced Level

Spice Without Borders reserves the right to establish additional certifications, credentials, badges, digital credentials, fellowships, honors, or recognition pathways as the ecosystem evolves.

Certification may be withheld, suspended, or revoked where a participant:

  • Fails to satisfy program requirements.
  • Violates these Terms & Conditions.
  • Breaches the Code of Conduct.
  • Commits academic or professional misconduct.
  • Provides false information during admission or assessment.
  • Misuses a Spice Without Borders certification or credential.

All certifications remain the intellectual property of Spice Without Borders and may only be used in accordance with applicable certification guidelines.

08 — Fees, Scholarships and Financial Support

Fees, Scholarships and Financial Support

Certain programs, courses, events, certifications, products, or services may require payment of tuition fees, registration fees, membership fees, event fees, or other charges.

Where fees apply:

  • Applicable fees will be communicated before registration or enrollment.
  • Payment terms and deadlines must be observed.
  • Scholarships, bursaries, discounts, sponsorships, or financial assistance may be offered at the sole discretion of Spice Without Borders or funding partners.
  • Financial assistance is competitive and subject to availability.
  • Unless otherwise stated in writing, fees paid are non-refundable except where required by applicable law.

Receiving a scholarship or sponsorship does not exempt participants from complying with program requirements or these Terms & Conditions.

Spice Without Borders reserves the right to revise fees, introduce new payment structures, or discontinue financial assistance programs at any time.

Events and Community Activities

Spice Without Borders organizes and supports a wide range of learning experiences, conferences, summits, awards, festivals, networking events, exhibitions, workshops, bootcamps, dialogues, competitions, campaigns, and community initiatives.

These include, but are not limited to:

  • Spicy Circle Summit
  • SpiceFest
  • SpiceTalks
  • ChiliPitch
  • Spicy Awards
  • Spice Accelerator Demo Days
  • Ecospice activities
  • Kilimo Accelerator activities
  • Community dialogues
  • Learning workshops
  • Conferences
  • Webinars
  • Networking sessions
  • Exhibitions
  • Field visits
  • Community projects
  • Alumni activities
  • Future ecosystem events

By registering for or attending any event, participants agree to:

  • Conduct themselves professionally and respectfully.
  • Follow instructions issued by organizers.
  • Respect venue rules and applicable laws.
  • Wear identification where required.
  • Protect organizational property.
  • Respect fellow participants, speakers, exhibitors, volunteers, staff, and community members.
  • Refrain from behavior that disrupts program activities or compromises the safety of others.

Spice Without Borders reserves the right to refuse admission to, or remove from any event, any person whose conduct is considered unsafe, unlawful, disruptive, discriminatory, abusive, or inconsistent with the values of the organization.

Participants remain responsible for their own travel arrangements, accommodation, insurance, visas, and personal expenses unless explicitly stated otherwise.

Event schedules, speakers, venues, formats, and programs may change without prior notice where circumstances require.

10 — Community Projects, Ventures and Incubation

Community Projects, Ventures and Incubation

Many Spice Without Borders programs encourage participants to design, test, implement, or scale community initiatives, social enterprises, campaigns, innovations, research projects, environmental initiatives, creative works, and collaborative ventures.

Participants retain primary responsibility for:

  • Planning their initiatives.
  • Obtaining required approvals.
  • Managing finances.
  • Complying with applicable laws.
  • Managing project risks.
  • Delivering project outcomes.

Spice Without Borders provides learning opportunities, mentorship, coaching, networking, incubation support, visibility, and connections but does not guarantee:

  • Funding
  • Grants
  • Scholarships
  • Investment
  • Employment
  • Commercial success
  • Partnerships
  • Awards
  • Media coverage
  • Project sustainability

Participants are encouraged to apply the Purpose to Impact methodology while recognizing that implementation decisions remain their own responsibility.

Projects developed during programs should demonstrate ethical leadership, responsible innovation, inclusion, accountability, and measurable community benefit.

11 — Fees, Payments, Scholarships and Financial Support

Fees, Payments, Scholarships and Financial Support

Certain programs, courses, events, certifications, memberships, publications, products, or services may require payment.

Where fees apply:

  • Fees will be communicated before registration.
  • Payments must be made according to published deadlines.
  • Registration may not be confirmed until payment is received.
  • Late payment may affect participation or certification.

Spice Without Borders may offer:

  • Scholarships
  • Sponsorships
  • Fee waivers
  • Discounts
  • Financial assistance

Such support is competitive, limited, and awarded at the sole discretion of Spice Without Borders or funding partners.

Unless expressly stated otherwise, fees paid are non-refundable except where required by applicable law.

Failure to complete a program does not automatically entitle a participant to a refund.

12 — Intellectual Property

Intellectual Property

Spice Without Borders owns or has permission to use the intellectual property contained throughout its ecosystem.

This includes, but is not limited to:

  • Training materials
  • Curriculum
  • Learning resources
  • Videos
  • Audio recordings
  • Presentations
  • Graphics
  • Illustrations
  • Photography
  • Reports
  • Research
  • Frameworks
  • Methodologies
  • Toolkits
  • Assessments
  • Course content
  • Software
  • Website content
  • Digital resources
  • Mobile applications
  • Branding assets

The following proprietary intellectual property is protected, including future revisions:

  • Purpose to Impact
  • SPICE Framework
  • Colours of Change
  • Spicedemy

  • Any other proprietary frameworks, methodologies, publications, names, or program materials developed by Spice Without Borders.

No material may be copied, reproduced, distributed, translated, adapted, published, sold, licensed, or commercially exploited without prior written permission except where permitted by applicable copyright law.

Participants retain ownership of intellectual property they independently create.

However, by participating in Spice Without Borders programs, participants grant Spice Without Borders a non-exclusive, worldwide, royalty-free license to reference, display, publish, and showcase summaries of participant projects, achievements, photographs, videos, presentations, and stories for educational, reporting, promotional, fundraising, research, and impact communication purposes, unless otherwise agreed in writing.

13 — Brand and Trademark Use

Brand and Trademark Use

The Spice Without Borders name, logo, program names, trademarks, service marks, taglines, color identities, and brand assets are valuable organizational assets.

Unauthorized use is prohibited.

Protected brand assets include, among others:

  • Spice Without Borders
  • Developing Global Changemakers
  • Purpose to Impact
  • SPICE Framework
  • Colours of Change
  • Spicedemy
  • Spice Accelerator
  • Ecospice Accelerator
  • Kilimo Accelerator
  • SpiceTalks
  • ChiliPitch
  • SpiceFest
  • Spicy Circle Summit
  • Spicy Awards
  • Spice Hub
  • SpiceBikers
  • Coffeetage
  • Spice Duka
  • SpiceVents

Participants, partners, sponsors, media organizations, and third parties may not:

  • Modify logos.
  • Alter brand colors.
  • Create confusingly similar branding.
  • Use trademarks without permission.
  • Suggest endorsement where none exists.
  • Register domain names incorporating protected marks.
  • Use organizational assets for commercial purposes without written approval.

Brand assets may only be used in accordance with the official Spice Without Borders Brand Guidelines.

14 — Media, Photography and Recording

Media, Photography and Recording

Spice Without Borders documents many of its programs and activities through photography, audio, video, livestreaming, interviews, and other media.

By participating in ecosystem activities, participants acknowledge that photographs, recordings, or interviews may be captured.

Unless a participant has provided written notice before the activity begins, Spice Without Borders may use such materials for purposes including:

  • Education
  • Publications
  • Annual reports
  • Social media
  • Marketing
  • Communications
  • Website content
  • Fundraising
  • Documentary production
  • Historical archives
  • Research
  • Promotional campaigns

Participants may not record sessions, reproduce presentations, or distribute learning materials without prior authorization.

Commercial filming or photography requires written approval.

15 — User Accounts, Websites and Digital Platforms

User Accounts, Websites and Digital Platforms

Spice Without Borders provides websites, online learning environments, digital communities, mobile services, communication platforms, and other digital resources.

Users are responsible for:

  • Maintaining the confidentiality of login credentials.
  • Protecting account information.
  • Ensuring information remains accurate.
  • Logging out from shared devices.
  • Reporting unauthorized account access promptly.

Users must not:

  • Attempt to gain unauthorized access.
  • Upload malicious software.
  • Interfere with website functionality.
  • Harvest personal information.
  • Use automated scraping technologies without permission.
  • Circumvent security controls.
  • Upload unlawful, harmful, defamatory, obscene, or misleading content.
  • Impersonate another person or organization.

Spice Without Borders reserves the right to suspend or remove user accounts where misuse, fraud, security concerns, or violations of these Terms are identified.

Access to digital platforms may occasionally be interrupted due to maintenance, upgrades, security requirements, or circumstances beyond our control.

Where information is shared with trusted service providers or partners, this will only occur where necessary to support program delivery, legal compliance, or organizational operations and subject to appropriate safeguards.

Individuals may request access to, correction of, or deletion of their personal information in accordance with applicable law and the Spice Without Borders Privacy Policy.

Our collection, storage, processing, and use of personal information are governed by the Spice Without Borders Privacy Policy, which forms part of these Terms & Conditions.

To the fullest extent permitted by applicable law, Spice Without Borders, its directors, trustees, officers, employees, volunteers, mentors, facilitators, partners, sponsors, advisors, consultants, contractors, affiliates, licensors, and representatives shall not be liable for any direct, indirect, incidental, consequential, punitive, special, or economic loss arising from or relating to:

  • Attendance at events.

This obligation survives termination of your relationship with Spice Without Borders.

  • Conduct that brings Spice Without Borders into disrepute.

Termination may occur without prior notice where immediate action is reasonably necessary.

Termination does not release an individual from obligations that accrued before termination.

Spice Without Borders continuously improves its programs, services, publications, curriculum, events, methodologies, digital platforms, and initiatives.

Accordingly, we reserve the right to:

  • Modify programs.
  • Update curricula.
  • Introduce new initiatives.
  • Retire existing programs.
  • Change facilitators or speakers.
  • Amend event schedules.
  • Adjust fees.
  • Introduce new technologies.
  • Modify delivery methods.
  • Update certification pathways.

Where practical, significant changes will be communicated in advance.

25 — Force Majeure

Force Majeure

Spice Without Borders shall not be liable for any delay, interruption, suspension, or failure to perform its obligations where such delay results from circumstances beyond its reasonable control.

These circumstances include, but are not limited to:

  • Natural disasters.
  • Floods.
  • Fire.
  • Earthquakes.
  • Epidemics or pandemics.
  • War.
  • Terrorism.
  • Civil unrest.
  • Labor disputes.
  • Government action.
  • Internet outages.
  • Cybersecurity incidents.
  • Utility failures.
  • Transportation disruptions.
  • Acts of God.

Where possible, reasonable efforts will be made to resume services or provide alternative arrangements.

26 — Governing Law and Jurisdiction

Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.

Any dispute arising from or relating to these Terms, the Spice Without Borders ecosystem, or participation in our programs shall be subject to the exclusive jurisdiction of the competent courts of Kenya unless otherwise required by applicable international law.

Where appropriate, Spice Without Borders encourages good-faith dialogue and alternative dispute resolution before formal legal proceedings.
